1) UMPG grants Holds to Artists, Labels Or Producers who have established a working relationship with the UMPG Creative Staff. UMPG reserves the right to decline a hold based on lack of information regarding an individual or label. UMPG also in its sole discretion may decline a hold request of an individual or label that has a prior history of not demonstrating proper respect for the Holds process.
2) UMPG grants Holds with the specific intent of allowing the artist, label or producer the opportunity to convince all parties involved with a recording project to decide if the song suits their needs and ultimately record the song. Should any of the parties involved pass on the song UMPG will terminate the Hold immediately regardless of term. 3) In order for a Hold to be granted by UMPG, the Artist that would ultimately record the song must have a definitive recording date. 4) UMPG Holds are "timely not timeless." Every Hold has a definite term. The initial term of a Hold from UMPG is 10 business days. UMPG may at its sole discretion agree to extend a Hold if such is requested on terms acceptable to UMPG. 5) All UMPG Holds are "specific to an artist." UMPG does not grant or honor any so-called "second holds, blanket holds or rollover holds between artists." 6) UMPG acknowledges only Holds that have been properly cleared by the UMPG Creative Staff. UMPG may at its sole discretion choose to honor or decline a Hold conveyed by co-publisher or writer. If a party expects UMPG to honor a Hold from one of these sources, it is the sole responsibility of that party to confirm the request with UMPG. 7) UMPG will upon request provide each label, producer or artist with a listing of the songs currently on Hold for their respective projects. This information will be supplied via paper copy or through email to any person so designated by the respective holding party. UMPG also has a web site, www.SongsOnHold.com, which will be regularly updated by UMPG. This site may be accessed by a duly authorized representative with prior UMPG approval and a password. 8) UMPG does have a fee based system that is available to any party requesting a Hold that insures that UMPG will grant the "first use license" for a composition for a particular project. This fee is negotiated in standard licensing format and fees and terms are determined accordingly on an individual case basis. All fees collected are non-returnable in the event of default by a label. All collections will be returned in the event a composition is actually released or may at a labels' requests be treated as an advance against mechanical royalties. UMPG provides this as an option at a labels' sole discretion at this time. 9) UMPG reserves the right to alter or change its Hold Policy at any time. Should such become necessary, UMPG will continue to honor any prior agreement regarding specific Holds until the expiration of their term. UMPG will also immediately notify all participating labels of any changes. |
